These Terms and Conditions are entered into by and between Spectrum Group BV, (hereafter "us", "we", "our" or "Printlane™") and the entity or person using the Service ("Customer" or "you").
The access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. If you are accessing or using the Service on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company, and all references to "you" or "Customer" in this Agreement mean your company.
Printlane™ offers a suite of software-as-a-service solutions (the "Service") designed to enable businesses to offer product personalization capabilities to their customers. The Service includes tools for design customization, order processing, and integration with various e-commerce platforms.
Customers can integrate the Service into their systems using available integrations, which facilitate the exchange of data between the Customer's platform and the Service.
During the Subscription Term, Customer may access and use the Service solely for its internal business purposes in accordance with this Agreement.
Only authorized users ("Users") may access or use the Service. Each User must keep login credentials confidential and not share them with anyone else. Customer is responsible for its Users' compliance with this Agreement and actions taken through their accounts. Customer will promptly notify Printlane™ if it becomes aware of any compromise of any User login credentials.
Customer will not (and will not authorize anyone else to):
To utilize the Service, Customers may need to implement integrations that enable communication between their platforms and the Service. These integrations can be developed by the Customer or selected from the integrations provided by Printlane™ for various e-commerce platforms.
The Customer's use of these integrations is subject to the applicable license terms provided with such integrations and not the terms of this Agreement. Failure to properly implement integrations may result in certain features of the Service being unavailable or non-functional.
The Service excludes integrations, and Printlane™ shall have no warranty, support, indemnity, or other obligations with respect to integrations under this Agreement.
We are constantly updating our offerings of products and services on the Service. The products or services available on our Service may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the Service and in our advertising on other web sites.
We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.
Any contests, sweepstakes or other promotions (collectively, "Promotions") made available through the Service may be governed by rules that are separate from these Terms. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.
Printlane™ offers a free trial ("Free Trial") for new customers subscribing to the Service. The duration of the Free Trial is indicated at the time of sign-up.
You might be required to provide valid billing information to activate the Free Trial. You will not be charged during the Free Trial period. When the Free Trial expires, unless you have cancelled your Subscription before the end of the Free Trial, you will automatically be billed for your chosen Subscription plan at Printlane™'s then-current rate.
You can cancel your Subscription at any time during the Free Trial to avoid charges. Printlane™ reserves the right to modify the terms of the Free Trial offer or discontinue offering Free Trials at any time.
The Service is offered on a subscription basis ("Subscription"), and Customer is billed in advance on a recurring schedule ("Billing Cycle").
Billing Cycles are either monthly or annually, depending on the subscription term you selected at the time of subscribing. Each Billing Cycle automatically renews on the same calendar day the subscription began, unless the subscription is cancelled before the end of the current cycle.
If you subscribed to the Service via the Printlane™ Shopify app, Printlane™ will bill you through Shopify's billing platform, and all fees will be included in your regular Shopify invoice. In this case, your Billing Cycle is governed by Shopify's app billing system and the timing of these invoices is controlled by Shopify.
The first billing cycle starts when the Customer's trial ends. Customer automatically receives invoices at the email address configured in their account. Additionally, invoices are available on the billing page in Printlane™ Studio.
Every billing cycle, Customer is charged:
All fees are due within 14 days of the invoice date. Except when required by law, paid Subscription fees are non-refundable.
Printlane™ reserves the right, at its sole discretion, to modify Subscription and Usage charges at any time. Changes to Subscription charges will become effective at the end of the current Billing Cycle. Changes to Usage charges may take effect immediately upon notice. Printlane™ will provide reasonable prior notice of any fee changes, giving Customer the opportunity to cancel the Subscription if desired. Continued use of the Service after any fee change constitutes Customer’s agreement to pay the modified charges.
Charges for customers based in Belgium are subject to 21% VAT. Other EU-based customers receive invoices rated at 0% VAT, following the reverse VAT charge application from art. 196 of EU Council Directive 2006/112/EC. Non-EU Customers are not subject to additional VAT charges.
If you subscribed to the Service via the Printlane™ Shopify app, both Subscription and Usage charges are billed via Shopify's platform and appear on your Shopify invoices. These charges follow Shopify's billing cycles and may be prorated or split across invoices depending on your usage and Shopify’s billing thresholds. Any applicable taxes on these charges are determined and applied by Shopify according to regional tax obligations.
Each subscription plan includes a fixed number of print jobs per month. Usage charges are calculated and charged monthly, even if your subscription is billed annually. The day of the month when usage charges are charged, matches the calendar day of your billing cycle.
A Print Job is created when a design is downloaded and generates a print-ready production file. Downloading the same design multiple times does not create a new print job, unless the design or its settings have been modified since the last download. In that case, a new print job is created to reflect the changes. Unused print jobs do not carry over to the next month.
If Customer exceeds the monthly amount of print jobs included in their plan, Customer agrees to pay additional usage charges for each extra job. These charges are billed at the then-current rate, as published on the Printlane™ website.
Customer can monitor print job usage in Printlane™ Studio, which displays the number of print jobs executed during the current month. Viewing designs within the platform, without downloading them, is free of charge.
If you subscribed to the Service via the Printlane™ Shopify app, usage charges are calculated in the same way and included in your Shopify invoice according to Shopify's app billing cycle. To enable this, we may require you to approve a recurring app subscription that permits usage-based billing, or accept one-time charges through Shopify's billing system.
A valid credit card is required to process the payment for your Subscription. Customers based in the EU may also pay using a regular bank account through SEPA Direct Debit.. a SEPA mandate will be created and must be accepted during checkout. This mandate authorizes Printlane™ to automatically charge the account at the start of each billing cycle.
You shall provide Printlane™ with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method. By submitting such payment information, you automatically authorize Printlane™ to charge all Subscription fees incurred through your account to any such payment instruments.
If you subscribed to the Service via the Printlane™ Shopify app, all payments (including subscription and usage charges) are processed through Shopify's billing platform. Invoices are issued by Shopify and paid using the payment method you've configured in your Shopify admin. Printlane™ does not collect your payment information directly in this case.
By providing payment information and agreeing to purchase the Service, Customer hereby authorizes Printlane™ (or its designee) to automatically charge Customer's payment method each billing cycle for all fees accrued as of that date. The billed amount may vary depending on Customer's usage of the Service, including any applicable Usage Charges.
By submitting your payment information, you authorize Printlane™ to share that information with third-party payment processors as necessary to complete the transaction. We do not store full credit card numbers or CVV codes on our systems.
If you subscribed to the Service via the Printlane™ Shopify app, this authorization is granted via the Shopify platform when approving the Printlane™ app's subscription or usage charges. Shopify handles recurring charges in accordance with its own billing policies and cycles.
Customer acknowledges that for certain payment cards, the issuer of the card may charge a foreign transaction fee or other charges.
If a payment is not successfully settled due to an expired payment method, insufficient funds, or otherwise, Customer remains responsible for any amounts not remitted to Printlane™ and Printlane™ may, in its sole discretion, either (i) invoice Customer directly for the deficient amount, (ii) continue billing the payment card once it has been updated by Customer (if applicable) or (iii) terminate the Subscription or access to the Service.
If you subscribed to the Service via the Printlane™ Shopify app, failed payments are managed by Shopify, and your store may be frozen or restricted if charges go unpaid. Please refer to Shopify's billing policies for further details.
At any time, Customer may update its payment information by entering updated debit or credit Card information in its account settings.
Upon any termination, expiration or cancellation of a Subscription, Printlane™ will charge the Customer's payment card (or invoice Customer directly) for any outstanding fees for Customer's use of the Service during the Subscription (including any Usage Charges), after which Printlane™ will not charge for any additional fees.
If the Customer does not wish to renew a Subscription, Customer must cancel its subscription(s) from its account settings.
Cancellations take effect at the end of the current Billing Cycle. Customer remains responsible for all fees incurred during the remainder of the Subscription period.
If Customer changes its Subscription plan, Printlane™ will immediately bill Customer for the applicable subscription fees. The difference between the previous and new fees will be prorated accordingly, and the Customer will only be charged for the portion of the Billing Cycle applicable to each plan.
Processor is bound to an obligation of confidentiality with respect to all Personal Data and other information that it receives from the Controller in the light of this Addendum. This confidentiality obligation also applies to the Employees of the Processor and to any Sub-processor and their employees.
This confidentiality obligation applies for the entire duration of the Processing and also after the termination of the Processing.
This confidentiality obligation does not apply if the Processor is required by the Supervisory Authority, a legal provision or a court order to communicate the Personal Data, when the information is publicly available or when the communication of the Personal Data has been authorised by the Controller.
By accepting the Terms and Conditions, you expressly accept the application of the clauses set out in our Data Processing Addendum and Privacy Policy.
Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.
By posting Content to the Service, you grant Printlane™ a non-exclusive, royalty-free license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights. You agree that this license includes the right for Printlane™ to make your Content available to other users of the Service, who may also use your Content subject to these Terms.
You represent and warrant that: (i) the Content is yours (you own it) or you have the right to use it and grant Printlane™ the rights and license as provided in these Terms, and (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.
When you create an account with us, you must provide Printlane™ information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
You agree not to disclose your password to any third party. You must notify Printlane™ immediately upon becoming aware of any breach of security or unauthorized use of your account.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Printlane. The Service is protected by copyright, trademark, and other laws of both Belgium and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Printlane.
Our Service may contain links to third-party web sites or services that are not owned or controlled by Printlane.
Printlane™ has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Printlane™ shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
In no event shall Printlane™, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not Printlane™ has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
Printlane™, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
These Terms shall be governed and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between you and Printlane™ regarding the Service and supersede all prior agreements related to its use.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
You are subject to all Terms and Conditions, including the Data Processing Addendum, End User License Agreement and Privacy Policy that applies to the use of the Service described in this agreement.
